Terms and Conditions
All orders for goods or services accepted by Target Helpdesk Software Ltd. (“the supplier”). No agent or representative of the supplier has the authority to vary these conditions unless accepted in writing by a director of Target Helpdesk Software Ltd.
1. Format of contract
1.1 These terms of sale apply to all goods or services supplied by Target Helpdesk Software Ltd
1.2 Any order placed by you for goods or services advertised on our website is an offer by you to pay for goods selected in your order. No Contract exists between you and us for the sale of any goods or services unless explicitly stated.
1.3 In the event that, after we accept you order, we discover that the goods or services ordered had a pricing error on our website we reserve the right not to supply the goods or services ordered and to offer you a refund.
1.4 We have the right to terminate the contract if the price of the goods or services is not received from you in cleared funds (in accordance with section 3).
1.5 We reserve the right to change these terms and conditions at any time. Any such changes will take effect when posted on the website and it is your responsibility to read the terms and conditions on each occasion you use this website and your continued use of the website shall signify your acceptance to be bound by the latest terms and conditions.
2. Description and price of the goods and services
The description and price of the goods and services you order will be as shown on the our website at the time you place your order.
2.1 Every effort is made to ensure that prices shown on the our website are accurate at the time you place your order. If within 14 days of accepting your order a pricing error is found in some or all of the goods or services you have ordered, we will notify you as soon as possible detailing the goods or services and offering you the option of:
2.1.1 Placing a new order at the correct price for those goods or services
2.1.2 Cancelling the whole of you order; or
2.1.3 Cancelling your order for the mis-priced goods or services and reconfirming your order for the correctly priced goods or services
2.2 If, within 14 days of receipt of our notice to you, you have not responded by selecting any of the available options at conditions 2.1.1,2.1.2,2.1.3 above then:
(a) if all of the goods or services you have ordered are found to be mis-priced, the entire order will be cancelled automatically and we will refund or re-credit you for any sum you have paid for those goods or services; or
(b) if only some of the goods or services you have ordered are found to be mis-priced, our contract with you continues and we will deliver the correctly priced goods or services but we will not be obliged to supply you with the mis-priced goods or services. In these circumstances we will refund or re-credit you for any sum you have paid for the mis-priced goods or services.
3. Payment and price
(a) The supplier reserve the right to vary the quoted price for the goods or services by upwards additions in accordance with market conditions at the date of actual supply and the purchaser shall pay such additions to the quoted price. Price list do not constitute an offer
(b) All invoices are due for payment on the date shown on the invoice. Payment is made in Sterling unless otherwise stated.
(c) All over due accounts will be charged, on a daily basis, 5% commercial interest above the base rate of the Royal Bank of Scotland PLC obtaining at the time.
(d) Payment for the goods or service and delivery charges can be made by any method shown on the website at the time you place your order. Payment shall be due within 14 days of invoice date payment shall be a fundamental term to this agreement, breach shall entitle the possible terminatation of any contract immediately.
(e) There is no refundable cash value for goods and services.
4. Intellectual Property
4.1 You Acknowledge and agree that all copyright, trademarks and all other intellectual property rights in all materials and/or content made available as part of your use of this website shall remain at all times vested in us.
4.2 You acknowledge and agree that the material and content contained within this website is made available for your personal and commercial use only, and that you may only download such material and content for the purpose of using this website. You further acknowledge that any other use of the material and content of this website is strictly prohibited and you agree not to (and agree not to assist of facilitate any third party to) copy, reproduce transmit, publish, display distribute, commercially exploit or create derivative works of such material and content.
5. Any goods, Services or information displayed on this website should not be regarded as an offer, invitation, solicitation, advice or recommendation to buy an product to services on the website
6. Any email or other electronic acknowledgement by us of receipt of an order placed by you does not constitute legal acception by Target Helpdesk Software Ltd. Acceptance of your order will take place when the invoice is dispatched to you for the products ordered, unless we have notified you that we do not accept you order or you have cancelled it unless otherwise stated.
7. Data Protection
The Supplier will take all reasonable precautions to keep the details of your order and payment secure but unless the Supplier is negligent, the Supplier will not be liable for unauthorized access to information supplied by you.
